Terms of Service

These Terms govern your use of LongPay, a non-custodial point-of-sale service operated by Chatbtc Limited. By creating an account or using LongPay, you agree to these Terms. If you do not agree, do not use the service.

1. The service

LongPay lets merchants generate payment requests and QR codes so customers can pay them in Bitcoin (Lightning) and USDT (TRC-20 / ERC-20), with amounts shown in Hong Kong dollars using third-party exchange-rate data. LongPay also offers invoicing, receipts, and event ticketing features.

2. Non-custodial — we never hold your funds

LongPay is non-custodial. Payments go directly from the customer’s wallet to the wallet address you provide. We never take possession or control of, and have no access to, your funds or private keys. LongPay is not a bank, exchange, custodian, or money transmitter, and does not provide financial, investment, tax, or legal advice. You are solely responsible for the wallet addresses you enter and for safekeeping your own wallets.

3. Eligibility and your account

• You must be at least 18 and using LongPay for a lawful business purpose.
• You are responsible for the accuracy of your account information and for all activity under your account.
• Keep your login credentials secure; notify us promptly of any unauthorized use.

4. Your responsibilities and compliance

• You are responsible for complying with all laws and regulations that apply to your business, including tax, consumer-protection, anti-money-laundering, sanctions, and any virtual-asset rules in your jurisdiction.
• You must not use LongPay for any illegal activity, fraud, or to process payments for prohibited goods or services.
• If you collect customer information (e.g., for invoices or tickets), you are responsible for handling it lawfully.

5. Cryptocurrency risks

• Cryptocurrency transactions are generally irreversible. There are no chargebacks; sending to a wrong address can result in permanent loss.
• Crypto values are volatile, and HKD conversion figures shown in the app are estimates from third-party rate sources, not guaranteed prices.
• Blockchain and Lightning networks are operated by third parties; confirmation times, fees, and availability are outside our control.

6. Fees

LongPay is currently provided to merchants free of charge. If we introduce fees in the future, we will notify you and disclose them before they apply. Any subscriptions, if offered, are billed and managed via our website.

7. Acceptable use

You agree not to misuse the service, including by attempting to disrupt it, bypass security or rate limits, reverse-engineer it, or use it to violate the rights of others or any law.

8. Intellectual property

LongPay and its logos, software, and content are owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the service as intended. You retain rights to the data you submit.

9. Suspension and termination

We may suspend or terminate accounts that violate these Terms or pose a security or legal risk. You may stop using LongPay and delete your account at any time from Settings → Delete account.

10. Disclaimers

The service is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that payment detection will be timely or accurate in every case.

11. Limitation of liability

To the maximum extent permitted by law, LongPay and Chatbtc Limited will not be liable for any indirect, incidental, or consequential damages, or for any loss of funds, profits, or data arising from your use of the service, blockchain networks, or third-party wallets.

12. Indemnity

You agree to indemnify and hold us harmless from claims arising out of your use of the service or your breach of these Terms or applicable law.

13. Changes

We may update these Terms from time to time. Continued use after changes means you accept the updated Terms.

14. Governing law

These Terms are governed by the laws of Hong Kong, and you agree to the exclusive jurisdiction of its courts, except where applicable law provides otherwise.
